1. Introduction & Acceptance
Welcome to Algo Nova ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of
the Algo Nova platform, software, website, mobile applications, and any associated services (collectively, the "Platform"). By
accessing, registering for, or using the Platform or any Services, you ("User," "Investor," "you," or "your") accept and agree to these
Terms in full. If you do not agree, do not use the Platform.
These Terms form a legally binding agreement between you and Algo Nova.
2. Definitions
"Account" means your registered account with the Platform.
"Assets" means any cryptocurrency, tokens, digital assets, stablecoins, or other value stored or held through the Platform.
"Services" means the Platform’s algorithmic arbitrage trading services and any related functionality, tools, analytics, reporting, or
support.
"AML" means anti-money laundering laws and regulations.
"KYC" means know-your-customer verification requirements.
"Third-Party Service" means any external service, exchange, wallet provider, liquidity provider, or data provider integrated with or
used by the Platform.
3. Description of Services
Algo Nova provides proprietary algorithm-driven software that seeks to identify and execute cryptocurrency arbitrage opportunities
across supported exchanges and liquidity sources. The Platform may, where permitted, allow Users to deposit cryptocurrency into an
Account that is accessible by the Platform to execute algorithmic trading strategies on behalf of the User.
No Guarantee of Profit: The Company does not guarantee or promise any minimum returns, profits, or preservation of capital.
No Fiduciary Duty: Unless otherwise set forth in a separate executed agreement, the Company does not act as a fiduciary, broker, or
investment adviser.
4. Eligibility
You represent and warrant that:
● You are at least 18 years old (or the age of majority in your jurisdiction).
● You have the legal capacity to enter into these Terms and to perform all obligations herein.
● You are not located in, or a resident of, a jurisdiction where the use of the Platform or the Services is prohibited by applicable
law.
The Company may refuse service or access to any person at any time.
5. Account Registration; AML/KYC Compliance
5.1 Registration
To use certain features, you must register for an Account and provide accurate, complete, and current information. You agree to keep
your Account information updated.
5.2 Identification and Verification
You authorize the Company (and its agents) to collect and verify your identity and other information necessary for AML/KYC
compliance. Verification may require government-issued IDs, proof of address, tax ID numbers, and other documentation.
5.3 Ongoing Monitoring
You consent to ongoing monitoring of your Account activity. The Company may suspend or restrict Accounts suspected of suspicious
activity pending investigation.
5.4 Customer Due Diligence
The Company may perform screening against sanctions lists, politically exposed person (PEP) lists, and other watchlists. You must
immediately notify the Company of any changes to the information you provided.
5.5 Refusal or Reporting
The Company may refuse to accept deposits, close Accounts, or report suspicious activity to authorities as required by law. The
Company is not liable for any losses you incur as a result of compliance measures or reporting.
6. Privacy and Data Protection
6.1 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect personal
information. By using the Platform, you agree to the terms of that policy.
6.2 Data Collection
We collect information you provide and information collected automatically (e.g., IP addresses, device data, transaction records). We
may collect blockchain transaction data associated with your wallet addresses.
6.3 Use and Disclosure
We may use data to provide Services, comply with legal obligations (including AML/KYC), prevent fraud, improve the Platform, and as
otherwise permitted by the Privacy Policy. We may disclose data to service providers, regulatory authorities, and as required by law.
6.4 Data Retention and International Transfer
We retain data as required by law and for legitimate business purposes. Data may be transferred to or stored in jurisdictions other
than your residence, which may have different data protection laws.
6.5 Security Measures
We implement reasonable administrative, technical, and physical safeguards; however, no system is perfectly secure. See the
Security section for details.
7. User Responsibilities
You agree to:
● Maintain the confidentiality and security of your Account credentials and private keys.
● Use the Platform only for lawful purposes.
● Provide true, accurate, current, and complete information.
● Ensure you have all necessary rights and authority to deposit and trade any Assets.
● Notify the Company immediately of any unauthorized access or security breach.
You are solely responsible for the consequences of trades, transfers, or any activity conducted through your Account.
8. Deposits, Withdrawals, and Custody
8.1 Deposits
You may deposit supported cryptocurrencies into your Account following the Platform instructions. Deposits are subject to network
confirmations and may be delayed.
8.2 Custody
Unless specified otherwise in a written agreement, the Company may hold, control, or have access to Assets for purposes of
executing arbitrage trades. The Company may engage third-party custodians or custodial arrangements. The Company is not liable
for losses arising from third-party custody unless caused by the Company’s gross negligence or willful misconduct as expressly
required by applicable law.
8.3 Withdrawals
Withdrawal requests are subject to verification, network conditions, minimum thresholds, fees, and potential delays. The Company
may impose holds for security, AML/KYC, or legal reasons.
8.4 Transfer Risk; Irreversibility
Blockchain transfers are generally irreversible. You are solely responsible for sending Assets to correct addresses and for any losses
resulting from incorrect addresses.
9. Fees; Billing; Taxes
9.1 Fees
The Platform may charge fees, commissions, spreads, performance fees, withdrawal fees, or other charges. Fees will be disclosed on
the Platform and may change from time to time.
9.2 Billing
By using the Platform, you authorize the Company to deduct applicable fees from your Account or any Assets held by the Platform.
9.3 Taxes
You are solely responsible for all taxes, duties, and similar liabilities arising from your use of the Platform, including taxable events
resulting from trading activity. You should consult your tax advisor.
10. Risk Disclosure
Cryptocurrencies and algorithmic trading involve significant risks, including but not limited to:
● Volatility and market risk
● Liquidity and execution risk
● Counterparty and exchange risk
● Smart contract vulnerabilities
● Cybersecurity risk
● Regulatory and tax changes
● Slippage, latency, and failed transactions
You acknowledge that you may lose some or all of your investment. You should only invest funds you can afford to lose.
11. Trading Operations; Algorithmic Execution
11.1 Trading Strategy
Algo Nova uses proprietary algorithms to seek arbitrage opportunities. Algorithms are subject to market conditions and may perform
differently over time.
11.2 No Guarantee of Execution
The Company does not guarantee that any detected arbitrage opportunity will be successfully executed, nor that executed trades will
be profitable.
11.3 Decision Making
Unless otherwise agreed in writing, Algo Nova will have discretion in how the algorithm routes orders across exchanges, handles
partial fills, and manages risk parameters.
11.4 Backtesting and Performance
Any historical or hypothetical performance data presented is not indicative of future results.
12. Disclosures and Conflicts of Interest
12.1 Conflicts of Interest
The Company and its affiliates may have relationships with exchanges, liquidity providers, market makers, or other market
participants. Such relationships could present conflicts of interest. The Company will seek to disclose material conflicts where required
by law or where feasible in a transparent manner.
12.2 Material Risks & Disclosures
The Platform will disclose material risks and operational dependencies (e.g., reliance on particular exchanges) where practicable.
However, you acknowledge that not all conflicts or risks may be avoidable or fully disclosed.
13. Third-Party Services and Integrations
The Platform may interact with or rely on Third-Party Services. We are not responsible for the performance, security, or availability of
third-party platforms. Third-Party Services may have their own terms and privacy practices.
14. Intellectual Property
All rights, title, and interest in the Platform, including code, algorithms, models, documentation, trademarks, and content, belong
exclusively to the Company or its licensors. No ownership rights are transferred to you. You may not copy, reproduce, modify, create
derivative works, or reverse engineer the Platform except as expressly permitted by law or a written agreement.
15. Security
15.1 Measures
We maintain technical and organizational measures designed to protect user data and Assets. These may include encryption,
multi-factor authentication, cold storage for a portion of Assets, periodic security audits, and best-practice operational controls.
15.2 Limitations
Despite measures, no system is completely secure. We are not liable for losses resulting from third-party breaches, phishing,
malware, or user credential compromises except to the extent caused by our gross negligence or willful misconduct as required by
applicable law.
15.3 User Security Obligations
You must keep your credentials, private keys, and devices secure. Use of hardware wallets, MFA, and secure password practices is
strongly encouraged.
16. Representations and Warranties
You represent and warrant that:
● You will comply with all applicable laws and regulations.
● You are not subject to U.S. or other sanctions that would prohibit you from using the Platform.
● You are not using the Platform for illicit activities.
The Company makes no representation or warranty regarding the accuracy of market data or third-party information.
17. Hold Harmless, Release, Indemnification & Assumption of Risk
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY AGREE TO RELEASE, INDEMNIFY, DEFEND, AND HOLD
HARMLESS ALGO NOVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, AND
SERVICE PROVIDERS (COLLECTIVELY, THE "RELEASED PARTIES") FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES,
LIABILITIES, DAMAGES, TAXES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES AND COSTS) ARISING OUT OF OR
RELATING TO:
(a) YOUR USE OR INABILITY TO USE THE PLATFORM OR SERVICES;
(b) ANY DEPOSITS, WITHDRAWALS, TRANSFERS, OR TRADES MADE THROUGH YOUR ACCOUNT;
(c) MARKET LOSSES, LOST PROFITS, LOST OPPORTUNITIES, OR LOST DATA;
(d) ANY ACTS OR OMISSIONS OF THIRD PARTIES (INCLUDING EXCHANGES, CUSTODIANS, OR PROVIDERS);
(e) CYBERSECURITY BREACHES, HACKS, OR UNAUTHORIZED ACCESS;
(f) FORCE MAJEURE EVENTS, INCLUDING NATURAL DISASTERS, WAR, TERRORISM, GOVERNMENT ACTION, PANDEMICS,
OR OTHER ACTS OF GOD;
(g) ERRORS, DELAYS, INTERRUPTIONS, BUGS, OR TECHNICAL FAILURES;
(h) ANY ALLEGED NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY, EXCEPT TO THE EXTENT THAT
APPLICABLE LAW EXPRESSLY PROHIBITS SUCH RELEASE.
You acknowledge that:
● The Company will not be responsible for reimbursing or compensating you for any losses except as expressly provided by law
or by a separate written agreement.
● You assume all risks associated with digital assets and algorithmic trading.
This indemnity shall survive termination of these Terms and any Account closure.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ALGO NOVA TO YOU
FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED
THE TOTAL AMOUNT OF FEES PAID BY YOU TO THE COMPANY DURING THE TWELVE (12) MONTHS PRECEDING THE
CLAIM. IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST DATA,
OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Certain jurisdictions may not allow limitations of liability or the exclusion of incidental or consequential damages; therefore, some of
the above exclusions may not apply to you to the extent prohibited by law.
19. No Warranty; "As Is" Disclaimer
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
ACCURACY, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE
OPERATION.
20. Suspension, Termination, and Account Restrictions
We may suspend, restrict, or terminate your Account and access to the Platform at any time for reasons including, but not limited to,
suspected fraudulent or illegal activity, violations of these Terms, regulatory requests, or security concerns. We may also refuse
transactions or freeze Assets as required by law.
Termination does not relieve you of obligations that accrued prior to termination (including outstanding fees and indemnification
obligations).
21. Dispute Resolution; Arbitration; Class Action Waiver
21.1 Mandatory Arbitration
Except where prohibited by applicable law, you and Algo Nova agree that any dispute, claim, or controversy arising out of or relating
to these Terms or the Platform shall be resolved by binding arbitration administered by a recognized arbitration provider under its
rules.
21.2 Waiver of Jury Trial and Class Actions
To the fullest extent permitted by law, you and the Company waive rights to a jury trial and to participate in a class, collective, or
representative action.
21.3 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending
arbitration.
22. Governing Law; Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Algo Nova is incorporated or
as otherwise specified on the Platform, without regard to conflict-of-law principles. Subject to any mandatory arbitration provisions
above, you and the Company submit to the exclusive jurisdiction of the courts in that jurisdiction for disputes not arbitrable.
23. Notices
We may provide notices by email, posting on the Platform, or other reasonable means. You agree that certain notices may be
provided electronically.
24. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. The Company may
assign or transfer these Terms or any of its rights hereunder without restriction.
25. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
26. Amendments to These Terms
We may modify these Terms at any time. Material changes will be communicated by posting revised Terms on the Platform and/or by
email. Continued use after the changes constitutes acceptance of the updated Terms.
27. Miscellaneous Provisions
27.1 Electronic Communications
By using the Platform, you consent to electronic communications and agree that such communications satisfy legal requirements.
27.2 Entire Agreement
These Terms, together with any referenced policies and agreements, constitute the entire agreement between you and the Company
concerning the subject matter hereof.
27.3 Force Majeure
The Company is not liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, natural
disasters, war, strikes, or government actions.

Acknowledgment: By creating an Account, depositing Assets, or using the Platform you acknowledge you have read, understood,
and agree to be bound by these Terms.
